Vortex™ Product Purchase, Use, and Resale Agreement

By purchasing, opening, using, distributing, or reselling Vortex™ products, the purchaser, distributor, laboratory, clinician, and/or end user acknowledges and agrees to the following terms and conditions:

1. Professional Use Only

Vortex™ products are intended solely for use by licensed dental professionals, qualified dental laboratories, and trained clinicians experienced in implant prosthetics and restorative procedures. Products are not intended for direct consumer or patient purchase or use.

2. Product Compatibility

The purchaser and clinician are solely responsible for verifying component compatibility, fit, and proper application prior to clinical or laboratory use. Use of incompatible components may result in mechanical failure, loosening, fracture, or patient complications.

3. Instructions for Use

All products must be used in accordance with the applicable Instructions for Use (IFU), torque recommendations, product specifications, and accepted clinical protocols provided by Vortex™. Failure to follow instructions may void any applicable warranty or replacement consideration.

4. Single-Use Components

Unless otherwise specified, prosthetic screws and related restorative components intended for final restorations are considered single-use devices and should not be reused. Reuse may increase the risk of fatigue, deformation, loosening, fracture, contamination, or clinical failure.

5. Non-Sterile Products

Unless explicitly labeled as sterile, Vortex™ products are supplied non-sterile and must be properly cleaned, disinfected, and sterilized prior to intraoral use in accordance with accepted clinical standards and office protocols.

6. Inspection Upon Receipt

Customers are responsible for inspecting all shipments immediately upon receipt. Any shortages, shipping damage, defects, or discrepancies must be reported to Vortex™ within the designated reporting period. Failure to report issues within a reasonable timeframe may limit replacement or credit eligibility.

7. Returns & Exchanges

Returns are subject to the current Vortex™ Return Policy. Opened, used, modified, damaged, improperly stored, or expired products may not be eligible for return, exchange, or refund.

8. No Unauthorized Resale

Purchasers, distributors, and resellers may not market, distribute, or resell Vortex™ products through unauthorized third-party marketplaces, including but not limited to Amazon, eBay, Walmart Marketplace, AliExpress, or similar online platforms, without prior written authorization from Vortex™.

Unauthorized resale may result in:

  • termination of purchasing privileges,
  • cancellation of distributor relationships,
  • refusal of future sales,
  • and potential legal action.

9. Minimum Advertised Pricing & Brand Protection

Authorized distributors and resellers may not advertise Vortex™ products below approved pricing guidelines where applicable. Vortex™ reserves the right to restrict or terminate accounts that engage in misleading advertising, unauthorized discounting, brand misuse, or misrepresentation of compatibility claims.

10. Limitation of Liability

To the fullest extent permitted by law, Vortex™ and Louisiana Dental Implant Lab shall not be liable for any incidental, indirect, special, punitive, or consequential damages arising from:

  • improper use,
  • misuse,
  • improper sterilization,
  • off-label application,
  • unauthorized modification,
  • incompatibility,
  • clinician error,
  • or failure to follow instructions or accepted clinical protocols.

Clinical judgment and patient treatment decisions remain solely the responsibility of the treating clinician.

11. Warranty Limitation

Vortex™ products are provided subject to any applicable limited warranty expressly stated by the company. Except where prohibited by law, all other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, are disclaimed.

12. Regulatory Compliance

Purchasers and users agree to comply with all applicable federal, state, local, and international laws and regulations governing dental devices, prosthetic components, sterilization procedures, and patient treatment.

13. Adverse Event Reporting

Customers and clinicians agree to promptly report any suspected product failures, adverse events, serious injuries, or safety concerns associated with Vortex™ products to Vortex™ for quality and regulatory review.

14. Governing Law

These terms and conditions shall be governed by and interpreted in accordance with the laws of the State of Louisiana, without regard to conflict of law provisions.

15. Arbitration & Dispute Resolution

Any dispute arising from the purchase or use of Vortex™ products shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes may be submitted to binding arbitration in the State of Louisiana unless otherwise required by applicable law.

16. Right to Refuse Service

Vortex™ reserves the right to refuse sales, terminate accounts, limit purchases, or discontinue business relationships at its sole discretion for violations of these terms or misuse of products.

17. Acceptance of Terms

By purchasing products through the Vortex™ website, Shopify store, distributor network, invoice, quotation, or direct sale, the purchaser acknowledges and agrees to these terms and conditions in full.
